Supplemental terms are incorporated into this Agreement. If a supplemental term conflicts with this Agreement, the supplemental term controls as to that PIR Property, offer, or program only.

3.3  Third Party Platforms. Your use of any third party platform on which a PIR account appears is also governed by that platform's own terms. Nothing in those terms grants you any right in PIR Intellectual Property.

3.4  Related Policies. Our Privacy Policy, including our use of cookies, pixels, and similar tracking technologies, is incorporated into this Agreement by reference.

ARTICLE 4.  CHANGES TO THIS AGREEMENT

4.1  Right to Amend. PIR may amend this Agreement at any time by posting the amended Agreement on the PIR Properties and updating the Last Revised date.

Your continued use of any PIR Property after an amendment is posted constitutes acceptance of the amendment.

ARTICLE 5.  LIMITED LICENSE TO USE

5.1  Grant. Subject to your compliance with this Agreement, PIR grants you a limited, revocable, nonexclusive, nontransferable, nonsublicensable license to access and view the PIR Properties solely to learn about PIR's services and to request, evaluate, or obtain services for a commercial property that you own, manage, lease, maintain, or represent.

5.2  Reservation. Every right not expressly granted in Section 5.1 is reserved by PIR. No license is granted by implication, estoppel, or otherwise.

5.3  Revocation. The license in Section 5.1 terminates automatically and without notice if you breach this Agreement.

(f)submit fake reviews, fake leads, or fraudulent form submissions.

6.2  Data Collection and Automated Access. You shall not, without PIR's prior written consent:

(a)copying, imitating, or adapting PIR's educational content, system diagrams, proposal formats, document layouts, pricing structures, program designs, or sales methods for use by any roofing contractor, coatings applicator, consultant, or other business that competes with PIR;

(b)requesting an evaluation, consultation, or proposal under a false identity or on behalf of a competitor, or for the purpose of obtaining PIR's pricing, methods, or Proposal Materials rather than in good faith consideration of PIR's services; or

(c)benchmarking, monitoring, or analyzing PIR's offers, pricing, or advertising for the benefit of a competing business.

6.4  Misuse of Brand. You shall not use any PIR Brand Assets or PIR Proprietary Language in any manner that suggests that you are PIR, that you are affiliated with, endorsed by, sponsored by, or certified by PIR, or that your goods or services originate with PIR.

ARTICLE 7.  INTELLECTUAL PROPERTY

7.1  Ownership. As between you and PIR, PIR and its licensors own all right, title, and interest in and to the PIR Intellectual Property. The PIR Intellectual Property is protected by United States and international copyright, trademark, trade dress, unfair competition, and other laws.

7.2  Brand Assets. The PIR Brand Assets are trademarks, service marks, and trade dress of PIR. Without PIR's prior written consent, you shall not use, copy, reproduce, imitate, or create any mark, logo, icon, pattern, color scheme, or design that is identical or confusingly similar to any PIR Brand Asset, including any geometric cube, honeycomb, or lattice pattern that imitates the PIR pattern.

7.3  Proprietary Language. Without PIR's prior written consent, you shall not use any PIR Proprietary Language, or any phrase confusingly similar to it, in any advertising, website, social media post, proposal, sales material, domain name, account name, hashtag, or search engine keyword.

7.4  Video, Clips, and Media. All videos, short form clips, reels, stories, livestream recordings, photographs, aerial and drone imagery, and audio published on or through any PIR Property are PIR Content. You shall not download, record, screen capture, re-upload, remix, stitch, duet, edit, caption over, or republish any of them, in whole or in part, except by using the built-in share function of the platform on which PIR published them, which displays the content as PIR's and links back to PIR.

7.5  Permitted Linking. You may link to the home page of any PIR Property, provided that the link is fair, is not misleading, and does not suggest any affiliation with or endorsement by PIR. PIR may revoke this permission at any time.

7.6  Third Party Marks. Product names, materials, and marks of manufacturers and suppliers that appear on the PIR Properties, including Conklin and its product names, are the property of their respective owners and are used to identify products that PIR installs. Their appearance does not grant you any right in those marks and does not mean the owner endorses any statement made by you.

7.7  Infringement Notices. If you believe any material on a PIR Property infringes your copyright, send written notice to the address in Article 21 identifying the work, the material, its location, your contact information, and a statement under penalty of perjury that you are the owner or authorized to act for the owner.

7.8  Remedies. You acknowledge that any unauthorized use of the PIR Intellectual Property will cause PIR irreparable harm for which money damages would not be an adequate remedy. PIR shall be entitled to seek temporary, preliminary, and permanent injunctive relief to prevent or stop any such use, without the necessity of posting a bond, in addition to every other remedy available at law or in equity. If PIR prevails in any action to enforce this Article 7, you shall pay PIR's reasonable attorneys' fees and costs.

ARTICLE 8.  SUBMISSIONS

8.1  Accuracy. You represent and warrant that each Submission is accurate and complete, that you have the right to provide it, and that it does not infringe or violate the rights of any person.

8.2  Property Information and Photographs. You grant PIR a nonexclusive, royalty free license to use photographs, video, drawings, and property information that you submit for the purpose of evaluating your property, preparing Proposal Materials, performing services, and keeping business records. PIR shall not publish any such material in marketing in a form that identifies you by personal name without your written consent.

8.3  Reviews, Testimonials, and Feedback. If you submit a review, testimonial, suggestion, idea, or other feedback, you grant PIR a perpetual, irrevocable, worldwide, royalty free license to use, reproduce, edit for length and clarity, display, and distribute it in any medium for PIR's business purposes, without compensation to you. PIR shall not alter a review or testimonial in a way that changes its meaning.

8.4  No Confidentiality of Submissions. Except for the personal information addressed in our Privacy Policy, Submissions are not confidential, and PIR has no obligation to return them.

ARTICLE 9.  EDUCATIONAL CONTENT; NO PROFESSIONAL ADVICE

9.1  General Information Only. PIR Content, including articles, guides, videos, diagrams, and comparisons of roofing materials and systems, is provided for general educational purposes only. It does not constitute engineering, architectural, structural, legal, insurance, tax, or financial advice.these TT

9.2  No Reliance. Every roof is different. Conditions such as trapped moisture, deck deterioration, structural capacity, drainage, and code requirements can be determined only by an on-site evaluation. You shall not rely on PIR Content as a substitute for an on-site evaluation of your property, and you assume all risk of any action you take based on PIR Content.

9.3  Results. Photographs, case examples, testimonials, and descriptions of completed projects show results on particular buildings under particular conditions. They are not a promise or guarantee of the same results on your property.

ARTICLE 10.  EVALUATIONS, PROPOSALS, AND SERVICES

10.1  No Offer. Information on the PIR Properties concerning services, materials, systems, warranties, pricing, and promotions is not an offer capable of acceptance.

10.2  No Contract Formed. A request for an evaluation, consultation, or proposal submitted through any PIR Property does not create a contract or any obligation on the part of you or PIR. PIR may decline any request for any lawful reason.

10.3  Basis of Proposals. Proposal Materials are prepared from the conditions PIR observes and the information available at the time of the evaluation. If concealed or unforeseen conditions are discovered, including wet insulation, deteriorated decking, structural deficiencies, or conditions not visible at the time of the evaluation, the scope of work and price may change in accordance with the Service Agreement. PIR is responsible only for the work PIR performs, from the roof deck upward, as stated in a signed Service Agreement. PIR is not responsible for any condition that existed before PIR’s work began, including wet or damaged insulation, deteriorated or saturated decking, structural defects, drainage deficiencies, interior damage, or damage caused by tenants, other trades, or prior contractors. Before work begins, PIR documents existing conditions with photographs and video, and that record establishes the baseline condition of the roof. Any condition shown in the baseline record, or concealed and discovered during the work, remains the responsibility of the owner, who decides whether to correct it.

10.4  Validity Period. Proposal Materials are valid only for the period stated on their face. If no period is stated, they are valid for thirty (30) days from the date of delivery. After that period, PIR may revise pricing to reflect changes in the cost of materials, equipment, labor, or other conditions.

10.5  Written Service Agreement Required. No roofing work shall begin until a Service Agreement has been signed by you and by an authorized representative of PIR. All work is governed exclusively by the Service Agreement, including scope, schedule, payment, warranty, insurance, and change orders.

10.6  Confidentiality of Proposal Materials. Proposal Materials are proprietary to PIR and are provided solely for your internal use in deciding whether to engage PIR. You shall not publish them or provide them to any roofing contractor, coatings applicator, or other competitor of PIR, except to your own attorney, accountant, lender, insurer, or property manager who needs them to advise you.

10.7  Service Area and Property Type. PIR provides services only for flat and low-slope roofs on commercial, industrial, institutional, and multi-unit apartment buildings located in Lake, Porter, LaPorte, Jasper, and Newton Counties, Indiana. PIR does not perform residential roofing work of any kind, including work on single family homes or sloped or shingled roofs. The availability of any PIR Property outside this area is not an offer to provide services outside it.

10.8  Warranties. Any manufacturer warranty is issued by the manufacturer, not by PIR, and is subject to the manufacturer's own terms, inspection, approval, and conditions, which may include ongoing maintenance requirements. Any PIR workmanship warranty exists only as stated in a Service Agreement. Descriptions of warranties on the PIR Properties are summaries only and do not create any warranty.

10.9  Insurance Claims. PIR is a roofing contractor and is not a public adjuster, attorney, or insurance agent. PIR does not negotiate insurance claims on your behalf and does not waive, absorb, or rebate any insurance deductible. Any information PIR provides in connection with an insurance claim is documentation of observed conditions and is not a guarantee of coverage or payment.

10.10  Financing. Any financing referenced on a PIR Property is offered by an independent third party lender or broker, not by PIR. PIR is not a lender and does not make credit decisions. All financing is subject to the third party's own terms and approval. PIR may receive a referral fee from the third party for referrals that result in financing.

10.11  Promotional Offers. Each promotional offer is subject to the eligibility requirements, quantity limits, codes, deadlines, and other terms stated with the offer. PIR may limit, modify, or end any offer at any time before a Service Agreement incorporating it is signed. Offers have no cash value, may not be combined unless stated, and are void where prohibited.

10.12  Payment Security. PIR accepts payment only by the methods stated in a Service Agreement, which may include card, ACH transfer, or check, and sends clients a secure payment link for that purpose. PIR will never request payment by gift card, cryptocurrency, or wire transfer to a new or changed account by email or text alone. If you receive such a request that appears to come from PIR, do not pay it and contact PIR directly at the telephone number in Article 21.

ARTICLE 11.  COMMUNICATIONS CONSENT

11.1  Consent. By providing your telephone number or email address through any PIR Property, you expressly consent to receive telephone calls, text messages, and emails from PIR and those acting on its behalf at the number or address provided, concerning your inquiry, your property, and PIR's services and offers. Calls and texts may be made using automated technology or prerecorded or artificial voice.

11.2  Not a Condition of Purchase. Your consent under Section 11.1 is not a condition of purchasing any goods or services from PIR.

11.3  Rates and Frequency. Message and data rates may apply. Message frequency varies.

11.4  Opting Out. You may revoke consent at any time by any reasonable means, including replying STOP to any text message or using the unsubscribe link in any email. Reply HELP for help. After you opt out, PIR may send one message confirming the opt out.

ARTICLE 12.  THIRD PARTY LINKS AND SERVICES

12.1  No Responsibility. PIR Properties may contain links to, or integrations with, third party websites, platforms, lenders, manufacturers, and tools. PIR does not control and is not responsible for their content, products, services, privacy practices, or availability. A link does not mean PIR endorses the third party.

12.2  Your Risk. Your dealings with any third party are solely between you and that third party and are at your own risk.

ARTICLE 13.  DISCLAIMER OF WARRANTIES

13.1  As Is. THE PIR PROPERTIES AND PIR CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS, IMPLIED, OR STATUTORY.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PIR DISCLAIMS ALL WARRANTIES WITH RESPECT TO THE PIR PROPERTIES AND PIR CONTENT, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NONINFRINGEMENT, AND ACCURACY, AND ANY WARRANTY THAT THE PIR PROPERTIES WILL BE UNINTERRUPTED, SECURE, ERROR FREE, OR FREE OF HARMFUL COMPONENTS.

ARTICLE 16.  TIME LIMIT ON CLAIMS

16.1  One Year. TO THE MAXIMUM EXTENT PERMITTED BY LAW, ANY CLAIM YOU MAY HAVE ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE PIR PROPERTIES MUST BE FILED WITHIN ONE (1) YEAR AFTER THE CLAIM AROSE, OR IT IS PERMANENTLY BARRED.

ARTICLE 19.  ORDER OF PRECEDENCE

19.1  Service Agreement Controls. If you and PIR sign a Service Agreement, the Service Agreement controls over this Agreement with respect to the roofing work it covers. This Agreement continues to govern your use of the PIR Properties and the PIR Intellectual Property.

19.2  No Modification by Representatives. No statement by any PIR employee, representative, or contractor, whether oral, by text, or by email, modifies this Agreement or any Service Agreement unless made in a writing signed by an authorized officer of PIR.
