OUR COMMITMENT TO THE DIY BUYER

We respect the building owner who wants to protect an asset with their own hands. We would rather sell you the right material, in the right quantity, than watch you waste money on the wrong product from a big box store. This Policy exists so that you know exactly where our responsibility starts and where it stops before you spend a dollar.

ARTICLE 1.  SCOPE AND DEFINITIONS

1.1  Scope. This DIY Material Purchase, Return, and Refund Policy (this "Policy") governs every sale of Products by Pristine Industrial Roofing LLC ("PIR") to a Buyer for self-installation.

1.2  Exclusion of Professional Installations. This Policy does not apply to any material installed by PIR. Professional installations are governed exclusively by a separate written Service Agreement.

1.3  Relationship to Terms of Service. PIR's Terms of Service are incorporated into this Policy by reference. If this Policy conflicts with the Terms of Service with respect to the sale, delivery, return, or refund of Products, this Policy controls.

1.4  Definitions. The following terms have the meanings set out below:

(a)"Buyer" means the person or entity that purchases Products from PIR, and anyone acting on the Buyer's behalf.

(b)"Products" means Conklin roofing products sold by PIR for self-installation, including acrylic coatings, urethane coatings, FLEXION vinyl (PVC) membrane, primers, cleaners, reinforcing fabric, sealants, and related supporting materials.

(c)"Order Confirmation" means the written confirmation PIR sends to the Buyer listing the Products, quantities, prices, taxes, delivery charges, and delivery method for an order.

(d)"Sealed Condition" means that a Product is in its original, unopened container and packaging, with the factory seal and lid unbroken, the label intact and legible, the lot number visible, and no sign of freezing, overheating, contamination, leakage, or physical damage.

(e)"Special Order Product" means any custom tinted batch, Product sold with a color upcharge, non-stock item, or quantity ordered from the manufacturer specifically for the Buyer.

(f)"Return Authorization" or "RA" means a written authorization number issued by PIR for a specific return.

(g)"Delivery Date" means the date the Products are delivered to the Buyer or picked up by the Buyer.

ARTICLE 2.  ORDERING, PAYMENT, AND TITLE

2.1  How to Order. Products are not sold through any PIR website. To purchase Products, the Buyer shall contact PIR by telephone, text message, or email at the contact information in Article 15.

2.2  Order Formation. An order becomes binding only when PIR issues an Order Confirmation and receives payment in full. The Buyer shall review each Order Confirmation and notify PIR of any error within one (1) business day of receipt. Products shipped in accordance with an Order Confirmation that the Buyer did not timely dispute are conclusively deemed the Products ordered.

2.3  Prices and Taxes. Prices are stated in whole dollars and are subject to change until an Order Confirmation is issued. The Buyer shall pay all applicable sales and use taxes unless the Buyer provides a valid exemption or resale certificate before the Order Confirmation is issued.

2.4  Payment. Payment is due in full before Products are released for delivery or pickup. PIR sends the Buyer a secure payment link and accepts card, ACH transfer, or check. Orders paid by check are released when the funds have cleared.

2.5  Title and Risk of Loss. Title to the Products passes to the Buyer upon payment in full. Risk of loss passes to the Buyer upon delivery to the Buyer's designated location or upon pickup, whichever occurs first.

ARTICLE 3.  PRODUCT SELECTION, QUANTITIES, AND RELIANCE

3.1  Assistance Provided. PIR may assist the Buyer in selecting Products and quantities. Any such assistance is based solely on the information, measurements, and photographs the Buyer provides, and is offered as a courtesy.

3.2  Buyer Responsibility. The Buyer is solely responsible for confirming that each Product is suitable and compatible with the Buyer's roof surface, existing materials, climate, and intended use, for conducting any adhesion test recommended by the manufacturer, and for confirming quantities. Coverage rates vary with surface texture, porosity, temperature, and application method, and actual consumption may differ from any figure discussed.

3.3  No Reliance. THE BUYER ACKNOWLEDGES THAT IT IS NOT RELYING ON PIR'S SKILL OR JUDGMENT TO SELECT OR FURNISH PRODUCTS SUITABLE FOR ANY PARTICULAR PURPOSE, AND THAT NO STATEMENT BY PIR REGARDING PRODUCT SELECTION OR QUANTITY CREATES ANY WARRANTY.

3.4  Recommendation for Professional Evaluation. PIR recommends a professional evaluation before self-installation on any roof over 2,000 square feet, any roof with an active leak, wet insulation, or deck deterioration, and any roof over an occupied space with sensitive contents. A Buyer that proceeds without a professional evaluation does so at its own risk.

ARTICLE 4.  DELIVERY, INSPECTION, AND STORAGE

4.1  Inspection at Delivery. The Buyer shall inspect all Products at the time of delivery and shall note any visible damage, leakage, or shortage on the carrier's delivery receipt or bill of lading before signing it.

4.2  Notice of Damage or Shortage. The Buyer shall report any damage, shortage, or incorrect Product to PIR in writing, with photographs, within two (2) business days after the Delivery Date. Products not timely reported are conclusively deemed delivered complete, correct, and undamaged.

4.3  Storage. After the Delivery Date, the Buyer is solely responsible for storing Products in accordance with the manufacturer's instructions, including protection from freezing, excessive heat, direct sun, and moisture.

4.4  Shelf Life. Products have a limited shelf life established by the manufacturer. PIR is not responsible for any Product that exceeds its shelf life after the Delivery Date.

ARTICLE 5.  WARRANTIES AND DISCLAIMERS

5.1  Manufacturer Warranty Only. Any warranty on Products is issued by the manufacturer, not by PIR, and is governed solely by the manufacturer's written warranty terms, conditions, registration requirements, and approval process in effect at the time of sale.

5.2  Self-Installed Products. For self-installed Products, any manufacturer remedy is limited to replacement of material that the manufacturer determines was defective when it left the factory. No coverage exists for labor, leaks, interior or consequential damage, or any failure resulting from misapplication, insufficient film thickness, application outside permitted temperature or weather conditions, omitted primer, inadequate surface preparation, incompatible substrates, ponding water, or improper storage.

5.3  Professional Installations. Craftsmanship warranties, labor warranties, and extended manufacturer warranties are available only on professional installations performed by PIR and only as stated in the Service Agreement and the warranty documents actually issued.

5.4  Disclaimer of Implied Warranties. EXCEPT FOR THE MANUFACTURER'S WRITTEN WARRANTY, IF ANY, THE PRODUCTS ARE SOLD BY PIR "AS IS." PIR MAKES NO WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, AND SPECIFICALLY DISCLAIMS THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

5.5  No Oral Warranties. No statement by any PIR employee, representative, or contractor, whether oral, by text, or by email, creates any warranty or modifies this Policy.

ARTICLE 6.  ELIGIBLE RETURNS

6.1  Conditions. PIR will accept a return of Products only if every one of the following conditions is met:

(a)the Products are in Sealed Condition;

(b)PIR receives the return request within sixty (60) days after the Delivery Date;

(c)the Products are standard stock items and not Special Order Products;

(d)the Products were purchased directly from PIR, as verified by invoice number and matching lot number;

(e)the Products have at least six (6) months of remaining shelf life when received by PIR; and

(f)PIR has issued an RA for the return.

ARTICLE 7.  NON-RETURNABLE PRODUCTS

7.1  Exclusions. The following are final sale and are not eligible for return or refund:

(a)any Product that is not in Sealed Condition, including any container whose lid or seal has been broken;

(b)any Product for which the return request is made more than sixty (60) days after the Delivery Date;

(f)any Product returned due to dissatisfaction with color, sheen, or appearance after application; and

(g)any Product whose lot number does not match PIR's sale records.

ARTICLE 8.  RETURN PROCEDURE

8.1  Request. To request a return, the Buyer shall email or call PIR with the invoice number and photographs showing the seals, labels, and lot numbers of each Product to be returned.

8.2  Return Authorization. PIR will respond within two (2) business days. If the return is approved, PIR will issue an RA stating the return address or pickup arrangement. An RA expires fourteen (14) days after issuance.

8.3  Shipping Requirements. The Buyer shall ship returns only by a carrier and method approved by PIR, with the RA number on each carton. Certain Products are regulated hazardous materials, and the Buyer is solely responsible for packaging, labeling, and shipping them in compliance with all applicable law. PIR may decline to accept any water based Product shipped during freezing weather.

8.4  Risk in Transit. The Buyer bears all shipping costs and all risk of loss or damage until PIR receives the returned Products.

8.5  Unauthorized Returns. PIR will refuse any shipment that does not bear a valid RA number. Refused shipments are returned to the Buyer at the Buyer's expense.

ARTICLE 9.  INSPECTION, RESTOCKING FEE, AND REFUNDS

9.1  Inspection. PIR will inspect returned Products within five (5) business days after receipt. PIR's reasonable determination of whether the Products meet the conditions of Article 6 is final.

9.2  Restocking Fee. Each approved return is subject to a restocking fee equal to ten percent (10%) of the price paid for the returned Products, rounded to the nearest whole dollar.

9.3  Non-Refundable Charges. Original shipping, freight, delivery, liftgate, fuel, and handling charges are not refundable.

9.4  Refund Method. Approved refunds are issued to the original payment method within five (5) to seven (7) business days after inspection. Orders paid by check are refunded by check.

9.5  Rejected Returns. If returned Products do not meet the conditions of Article 6, PIR will notify the Buyer. The Buyer may retrieve the Products at its own expense within thirty (30) days after the notice. Products not retrieved within that period are deemed abandoned, and PIR may dispose of them and charge the Buyer the reasonable cost of disposal.

ARTICLE 10.  PIR ERRORS

10.1  Wrong Product Shipped. If PIR delivers a Product that does not match the Order Confirmation, PIR will, at the Buyer's option, exchange the Product or issue a full refund, and PIR will pay the freight in both directions. No restocking fee applies.

10.2  Conditions. Section 10.1 applies only if the Buyer reports the error within the period stated in Section 4.2 and has not opened the incorrect Product.

ARTICLE 11.  LOCAL PICKUP

11.1  Eligibility. If the Buyer's property is within a one (1) hour drive of Hammond or Hobart, Indiana, the Buyer shall contact PIR before arranging any freight return. PIR may, at its sole discretion and on a case by case basis, pick up eligible Products in Sealed Condition.

11.2  Conditions. All conditions of Articles 6, 7, and 9 apply to Products returned by local pickup. Products remain at the Buyer's risk until loaded onto PIR's vehicle.

ARTICLE 12.  SAFETY, ASSUMPTION OF RISK, AND INDEMNIFICATION

12.1  Product Information. Before using any Product, the Buyer shall read and follow the manufacturer's Safety Data Sheet, product data sheet, and application instructions.

12.2  Buyer Responsibility. Roof work involves serious hazards, including falls, chemical exposure, fumes, flammability, heat, and weather. The Buyer is solely responsible for jobsite safety, personal protective equipment, fall protection, ventilation, permits, building code compliance, and the conduct of anyone the Buyer engages to apply Products.

12.3  Assumption of Risk. The Buyer voluntarily assumes all risk of injury, death, and property damage arising from the storage, handling, or application of Products by the Buyer or anyone acting on its behalf.

12.4  Indemnification. The Buyer shall defend, indemnify, and hold harmless PIR and its members, managers, officers, employees, and agents from all claims, losses, damages, and expenses, including reasonable attorneys' fees, arising from the storage, handling, or application of Products by or for the Buyer, including injury to any person, overspray, and damage to any building, vehicle, or contents.

ARTICLE 13.  LIMITATION OF LIABILITY AND EXCLUSIVE REMEDY

13.1  Exclusive Remedy. The Buyer's sole and exclusive remedy for any claim concerning Products sold under this Policy is, at PIR's option, replacement of the Product or refund of the price paid for it.

13.2  Cap. TO THE MAXIMUM EXTENT PERMITTED BY LAW, PIR'S TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THE SALE OF PRODUCTS SHALL NOT EXCEED THE PRICE THE BUYER PAID FOR THE SPECIFIC PRODUCTS GIVING RISE TO THE CLAIM.

13.3  Excluded Damages. TO THE MAXIMUM EXTENT PERMITTED BY LAW, PIR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LEAKS, INTERIOR DAMAGE, MOLD, LOSS OF INVENTORY, LOSS OF USE, BUSINESS INTERRUPTION, OR LABOR COSTS.

ARTICLE 14.  PAYMENT DISPUTES AND GOVERNING LAW

14.2  Chargebacks. PIR may submit this Policy and the Order Confirmation in response to any chargeback. If a chargeback is resolved in PIR's favor, the Buyer shall reimburse PIR for any chargeback fees PIR incurred, to the extent permitted by law.

14.3  Governing Law and Venue. This Policy is governed by the laws of the State of Indiana. Article 17 of PIR's Terms of Service, including its provisions on informal resolution, exclusive venue in Lake County, Indiana, individual claims, and jury waiver, applies to every dispute under this Policy.

14.4  Time Limit. TO THE MAXIMUM EXTENT PERMITTED BY LAW, ANY CLAIM ARISING FROM THE SALE OF PRODUCTS MUST BE FILED WITHIN ONE (1) YEAR AFTER THE DELIVERY DATE, OR IT IS PERMANENTLY BARRED.

ARTICLE 15.  GENERAL PROVISIONS AND CONTACT

15.1  Policy in Effect. PIR may amend this Policy at any time. The version in effect on the date of the Order Confirmation governs that order.

15.2  Severability. If any provision of this Policy is held unenforceable, it shall be enforced to the maximum extent permitted, and the remaining provisions remain in full force and effect.
